AssetsTransferAgreement thisassetstransferagreement(thisagreement)ismadebetweenandbythefollowingpartiesinbeijingon,(m,d,y). partya:aaaco.,ltd. address: partyb:bbbco.,ltd. address: whereaspartyaagreestoassigntopartybtheassetsconcernedtopartybandpartybagreestoacceptthesaidassets;therefore,thepartiesreachthefollowingagreementthroughfriendlyconsultations: article1 partyaagreestoassigntheassetslistedinattachmentiofthisagreement,andpartybagreestoaccepttheforegoingassets. article2 thepartiesagreethatpartyawillpletealltheproceduresnecessaryforthetransferoftheassetslistedinattachmentiheretofrompartyatopartybwithinuponexecutionofthisagreement(excludingthedayofexecutionforthisagreement),whichincludebutarenotlimitedtothehandoverofcertificationofownershipforsuchassetsandthehandlingofregistrationprocedures(ifapplicable). article3 partybwillpaypartyaanassignmentfeeoffortheassetsassignedbypartya. article4 thepartiesagreethatthetitleoftheassetslistedinattachmentiheretowillbetransferredtopartybontheuponexecutionofthisagreement.partyashallberesponsibleforalltheliabilitiesandrisksinvolvingthetitletransferoftheassetslistedinattachmentiheretopriortosuchtransfer(nomattersuchliabilitiesandrisksareclaimedbeforeorafterthetransferofsuchtitle),forwhichpartybshallbearnoliabilitiesandobligations.incasepartybdoesnotreceivetheforegoingassetswithinuponexecutionofthisagreement,partyashallpensatein. article5 representationandguarantee 5.1partyrepresentsandguaranteesasfollows: (a)partyaisapanyincorporatedandvalidlyexistingpursuanttothechineselaws; (b)byexecutingandperformingthisagreement,partyadoesnotviolatetherelevantlawsandcontractsthathaveabindingforceonit,andhasobtainedtheproperauthorizationandallthenecessaryapprovalofexecutingandperformingthisagreement;and (c)partyaisentitledtotheownershipoftheassetslistedinattachmentiheretoandhasnotplacedmortgageoranythirdpartysinterestsagainstsuchownership,nordoesitimposeanyobstacletopartybfortheobtainmentofthetitleofsuchassets. 5.2partybrepresentsandguaranteesasfollows: (a)partyaisapanyincorporatedandvalidlyexistingpursuanttothechineselaws;and (b)byexecutingandperformingthisagreement,partybdoesnotviolatetherelevantlawsandcontractsthathaveabindingforceonit,andhasobtainedtheproperauthorizationandallthenecessaryapprovalofexecutingandperformingthisagreement. article6 liabilityforbreachofagreement 6.1ifonepartytothisagreement(thebreachingparty)failstoimplementitsobligationsunderthisagreement(includingviolationoftheprovisionsinvolvingrepresentationandguarantee),andfailstoadopteffectivemeasurestocorrectsuchviolationwithinuponreceiptofawrittennoticebytheotherparty(thenonbreachingparty)forsuchcorrectionwithinthestipulatedtime,thenonbreachingpartyhastherighttoterminatethisagreementandclaimpensationfromthebreachingpartyforthelossessustainedtherefrom. 6.2ifpartyaviolatestheprovisionsofarticles2and5ofthisagreement,partybhastherighttoseekreturnofallthepaymentandapenaltyequaltoofthetotalpricefrompartya. article7 settlementofdispute anydisputearisingoutoforinconnectionwiththisagreementshallbesettledbythepartiesthroughconsultations.ifitcannotbesettledthroughconsultations,anypartymaysubmitthesaiddisputetochinainternationaleconomicandtradearbitrationmissionforarbitrationinbeijingaccordingtoitsvalidrulesofarbitration.thearbitrationawardisfinalandshallbebindingovertheparties. article8 forcemajeure aforcemajeureeventreferstoanyeventthatcannotbeforeseenanditsoccurrenceandconsequencescannotbeavoidedorovereatthetimewhenthisagreementisexecuted.anypartytothisagreementshallnotbeartheliabilitiesforbreachofthisagreementifitispreventedfromimplementingalloranypartoftheresponsibilitiesassociatedwiththeprovisionsofthisagreement.thepartythatisaffectedwithsuchaforcemajeureeventshallnotifytheotherpartyoftheeffectsofsucheventwithinafteritsoccurrence,andpresentcertificationbythelocalnotarizationorgan. article9 transferofagreement nopartyshalltransferitsrightsandobligationsunderthisagreementtoanythirdpartyunlessconsentedbytheotherpartyinwriting. article10 separabilityofagreement ifanyarticleorsectionofthisagreementbeesinvalidorunenforceable,itwillnotaffectthevalidityandenforceabilityofotherarticlesorsections. article11 amendmentandsupplementofagreement thepartiesmayamendorsupplementthisagreementinwriting.theamendmentandsupplementtothisagreementshallconstituteaninseparablepartofthisagreementandbeequallyauthentictothisagreement. article12 miscellaneous 12.1thisagreementshalletoforceuponexecutionbytheauthorizedrepresentativesofthepartiesandfixationoftheirofficialsealsasofthedatefirstseeninthisagreement. 12.2thisagreementhastwooriginalcopies,ofwhicheachpartyholdsone,andtheyareequallyauthentic. partya:aaaco.,ltd.
