This manual should be used in conjunction with the Methodology Manual that describes the “how” the RAs should perform and deliver restructuring consulting services to State-Owned Enterprises (SoEs) in both a socially responsible and commercial manner This manual should be used by local government, government agencies, the international donor community and other interested parties to provide them with the necessary guidance to assist them in setting up and replicating the Restructuring Agency model established under the SOERED Project. This Replication Manual essentially describes the “how to” set-up, operate and develop an RA. Note: there is much information contained in the Methodology Manual that also relevant to the replication of RAs - especially chapter X, Human Resources Management and chapter 11, Change Management. Rather replicate information that is already contained in the Methodology Manual the reader will be referred to the specific chapter and subsection references contained in the Methodology Manual.It is important to note that although the term State-Owned Enterprises (SoEs) has been used throughout this manual, for the purposes of this manual this term also refers to “former SoEs” that have undergone “ownership transformation”.Chapter 2Guidelines for using the manual This manual contains practical advice and suggestions on the steps necessary to set up, successfully operate and develop a Restructuring Agency. Strictly speaking this is not, nor is it intended to be, a detailed “Policy and Operational Procedures” manual for the RAs. However there are suggestions on what should comprise “best practice” to ensure a good governance structures and streamline operational procedures. Many of the current policies and procedures have been adopted based upon best practice with suitable modification for the China context. Other policies and procedures have been adopted from the specific rules relating to DFID funded projects (i.e. financial rules) and what is practical in as determined by the management of the RA.Organisation of the Replication Manual This manual is intended to be a practical guide to setting up, operating and planning for the future sustainability of each RA. The combined practical experience of the SOERED project across both Liaoning and Sichuan provinces has been used. There is a general section that provides an introduction to the aims and objectives of the SOERED project The next section outlines what is necessary in setting up an RA. This covers such matters as ownership structure, organisation structure, recruitment, selection of premises and facilities. Also covered in this section are systems, policies, procedures & controls and governance. The next section highlights those matters important for the ongoing day-to-day operations. Such matters as ongoing funding and financial support; developing people; developing ongoing business; and developing project management skills and ongoing client relationships. The last section deals more with the strategic development of the RA. In summary form, the structure of the Replication Manual looks like this: Introduction Setting up the Restructuring Agency Operating and developing the Restructuring Agency Growing the business of the Restructuring Agency The Replication Manual is also designed as a working guide to providing the necessary professional support to guide RA consultants in their consultancy work.SOERED Project an Overview The Restructuring Agencies were established under the Restructuring component of the State-Owned Enterprise Reform and Enterprise Development Project (SOERED), which is a joint project between the Governments of China and the United Kingdom. SOERED is administered for the Chinese Government by the Ministry of Overseas Trade and Economic Co-operation (MOFTEC) and, for the United Kingdom Government, by the Department for International Development (DFID). The Project is being implemented in three Municipalities in both Sichuan and Liaoning Provinces and aims to support the reform policies of the Chinese Government by providing tools for their effective implementation.
