【英文涉外借贷合同范本】英文涉外借贷合同【英文涉外借贷合同范本】英文涉外借贷合同LOANCONTRACTContractNumber:_BORROWER:_Address:_LENDER:_Address:_InaccordancewithprovisionsofContractLawofthePeoplesRepublicofChinaandBankofChinaLOANCONTRACTContractNumber:_BORROWER:_Address:_LENDER:_Address:_InaccordancewithprovisionsofContractLawofthePeoplesRepublicofChinaandBankofChina,afterreviewingthestatusandtherequestoftheBorrower,theLenderagreestogranttheBorroweralineofcrediton.TheBorrower,LenderandGuarantor,throughfriendlynegotiation,haveexecutedthisContractasfollows:ARTICLE1CURRENCY,AMOUNTANDTERMOFTHELOAN:1.TheCurrencyunderthisloanisReiminbi.2.TheLineoftheloanisyuan.3.Theperiodofthisloanis12monthsfromthedateofeffectivenessofthiscontract.ARTICLE2THEPURPOSEOFTHELOAN:1.Thepurposeofthisloanisusedforworkingcapitalturnover.2.WithoutwrittenapprovaloftheLender,theBorrowercouldnotusetheloanoutofthescopeofthepurpose.ARTICLE3INTERESTRATEANDCALCULATIONOFINTEREST:1.Interestrate:TheinterestrateshallbexxxDuringtheloanterm,ifthecountrysrelatedauthorityadjustedtheinterestrateorthemannerofcalculationofinterest,theinterestofthiscontractshallbeadjustedaccordinglyafteroneyearfromthedateofexecutionofthiscontract.Theadjustmentshallbeconductedwhentheinterestrateareexecutedoneyear.ItisnotobligedtoinformtheBorrowerwhentheadjustmentofinterest.2.Theinterestshallbecalculatedfromthedateoffirstdrawdownandtheactualdaystheborroweruse.Oneyearshallbecalculatedas360days.3.Thepaymentofinterests:TheBorrowershallpaytheinterestsperquarter.Thepaymentdateshallbe,and.Ifthepaymentforthelastinstallmentisnotonthepaymentdate,theinterestsshalldeducttheinterestfromthebankaccountoftheBorrower.IntheeventthattheBorrowerfailstopaytheinterestsontimeandthebalanceoftheaccountoftheBorrowerisnotenoughforthepaymentofinterest,theLendershallhaverightstocollectapenaltybeingxxxoftheoutstandingamountperdayfortheBorrowersbreachofcontract.ARTICLE4OVERDUEINTERESTSANDMISUSINGINTERESTS1.IftheBorrowerfailstorepaytheloanandcannotreachaagreementwiththeLenderregardingtheextension,theLendershallcollectanoverduepenaltyforxxxoftheoverdueamountperday.2.IftheBorrowerfailstousestheloaninaccordancewiththeprovisionssetforthinthiscontract,theLendershallhaverighttochargeainterestsforthemisusingpartatarateofxxxperday.ARTICLE5ACCOUNTTheBorrowershallopenReiminbibasicaccountand/orforeigncurrencyaccountattheLenderorLendersbranchfortheuseofdraw-down,repayment,paymentofinterestsandfees.ARTICLE6DRAW-DOWN1.Theloanunderthiscontractisrevolving,thebalanceofthiscontractshallnotmorethanthelineofcredit.2.TheBorrowershallsendadraw-downapplicationastheformhereinattachedinthiscontract7daysbeforethedateofdraw-down.3.TheBorrowershallnotdrawtheloanlessthan1million.ARTICLE7CONDITIONSFORDRAW-DOWNThefollowingconditionsshallbesatisfiedinadvanceofthedraw-downdate:1.TheBorrowerhasopenedforeignaccountandReiminbiaccountattheofficeoftheLenderorthebranchoftheLender;2.Thiscontractandtheappendiceshavebeeneffective;3.TheBorrowerhasprovidedtherecognitionoftheinvestmentorcertificateoftheinvestmenttotheLender;4.TheBorrowerhasprovidedtheboardresolutionandpowerofattorneyregardingthisloancontract;5.TheBorrowerhasprovidedthelistandthesignaturesampleoftheauthorizedpersonwhoempowertosignthiscontractanddocuments;6.TheGuarantyunderthiscontracthasbeeneffective;7.TheBorrowerhasbeensatisfiedthewarrantsunderArticle11ofthiscontract;8.Theotherrequirementforthedraw-downhavebeensatisfied.ARTICLE8REPAYMENTPLANANDPREPAYMENT1.TheBorrowershallrepaytheloaninaccordancewiththestatusofitscash.TheBorrowershallinformtheLenderthepaymentamountanddatexxxpriortomakethepayment.TheBorrowershallbeobligedtorepaytheprincipalandrelatedinterestsonduedatewithoutanycondition.2.ThepaymentmadebytheBorrowerandthedeductionfromtheaccountoftheBorrowershallbeusedforrepayingtheinterestatfirstandthenforrepayingtheprincipal.3.IntheeventtheBorrowerfailstorepaytheloan,theLendershallhaverightstodeductthedebtfromthebankaccountoftheBorrowerattheLenderorempowerthebranchesoftheLendertodeductthedebtfromthebankaccountoftheBorrowerattheLendersbranches;4.Theinstallmentofrepaymentshallnotlessthan1million.ARTICLE9DEBTCERTIFICATETheLendershallkeeprecordintheLendersaccountfortheprincipal,interestsandfeesandotherfeesoftheBorrowerunderthiscontract;Theabovementionedrecordandthedocumentationforthedraw-down,repaymentandpaymentofinterestisthecertificatesofthedebtsbetweentheBorrowerandtheLender.ARTICLE10GUARANTY1.(theGuarantor)shallbetheguarantorfortheloanunderthiscontractandtakejointlyliabilities.2.Duringthetermofthiscontract,iftheguarantorsfinancialstatusbecomedeterioratedortheliabilitiesforrepaymentofdebtsbecomeweak,theLendershallhaverighttorequesttheBorrowerchangesguarantororprovidemortgageandpawnsecuredforthisloanunderthiscontract.ARTICLE11REPRESENTATIONSANDWARRANTIESI.TheBorrowersrepresentsandwa
