本资料来源于网络 如有重复请联系本尊删除PROVISIONALAGREEMENTFORSALEANDPURCHASEprovisionalagreementforsaleandpurchasethisagreementismadeonbetween(1)(holder(s)ofhongkongidentitycard(s)no(s).andholderofcertificateofavailabilityforsaleno.)of(hereinaftercalledthevendor);(2)(holder(s)ofhongkongidentitycard(s)no(s).andholderofcertificateofeligibilitytopurchaseno.)of(hereinaftercalledthepurchaser);and(3)(holderofbusinessregistrationcertificateno.)of(hereinaftercalledthevendorsagent)and(holderofbusinessregistrationcertificateno.)of(hereinaftercalledthepurchasersagent).or(3)(holderofbusinessregistrationcertificateno.)of(hereinaftercalledtheagent).nowitisherebyagreedasfollows:1.thevendoragreestosellandthepurchaseragreestopurchase*throughthevendorsagentandthepurchasersagent/theagent,thepropertyknownas(hereinaftercalledtheproperty)subjecttothetermsandconditionshereincontained.2.thepurchasepriceofthepropertyishk$whichshallbepaidbythepurchasertothevendorinthefollowingmanner:(a)initialdepositofhk$shallbepaiduponsigningofthisagreement;(b)furtherdepositofhk$shallbepaiduponsigningoftheformalagreementforsaleandpurchaseonorbefore;and(c)balanceofpurchasepriceofhk$shallbepaiduponcompletionwhichshouldtakeplaceonorbefore.3.completionshalltakeplaceonorbeforeandthepropertyistobesoldtothepurchasersubjecttoclause17hereofbutotherwisefreefromincumbrances.4.uponcompletion,thevendorshalldelivervacantpossessionofthepropertytothepurchaser.5.thepurchasershallnotsub-sellthepropertyortransferthebenefitofthisagreement,whetherbywayofadirectorindirectreservation,rightoffirstrefusal,option,trustorpowerofattorney,nominationoranyothermethod,arrangementordocumentofanydescription,conditionalorunconditional,orenterintoanyagreementsotodobeforethecompletionofthesaleandpurchaseoftheproperty.whenfixingthedateofsigningoftheformalagreementforsaleandpurchase,thepurchaserandvendorshouldrefertoclause8below.6.thevendorandthepurchaseragreethattheyshallseparatelyappointtheirownsolicitors.thevendorshallberepresentedbyandthepurchasershallberepresentedby.7.eachpartyshallbearitsownlegalcosts.subjecttoclause11hereof,allstampdutyshallbebornebythepurchaser.8.thepurchaseragreestoapplytothehousingauthorityforaletterofnominationwithinonemonthfromthedateofthisagreementbutinanyeventnolaterthansevenworkingdayspriortothesigningoftheformalagreementforsaleandpurchase.9.inordertoenablethepurchasertoapplyfortheletterofnomination,thevendoragreestotendertheoriginalofthecertificateofavailabilityforsaletothepurchaserorhissolicitorswithindaysfromthedateofthisagreementbutinanyeventnolaterthansevenworkingdayspriortothesigningoftheformalagreementforsaleandpurchase.10.shouldthepurchaserfailtoobtainaletterofnomination(otherwiseduetothevendorsfailuretotenderthesaidcertificateofavailabilityforsalepursuanttoclause9above)beforethesigningoftheformalagreementforsaleandpurchaseorfailtocompletethepurchaseinmannerhereincontainedorfailtoobserveanyofthetermscontainedinthisagreement,thedepositshallbeforfeitedtothevendorandthevendorshallthenbeentitledathissolediscretiontosellthepropertytoothereligiblepurchasersashethinksfitbutwithoutprejudicetothevendorsrighttoclaimspecificperformanceanddamagesfromthepurchaser.11.shouldthevendorfailtotendertheoriginalofthecertificateofavailabilityforsaletothepurchaserorhissolicitorsaccordingtoclause9ofthisagreementorfailtocompletethesaleinthemannerhereincontainedorfailtocomplywithanyofthetermsofthisagreement,thevendorshallforthwithreturnthedeposittothepurchaserandshallpaytothepurchaserasumequivalenttotheamountoftheinitialdepositasliquidateddamagesandshallalsoreimbursethepurchaserwiththepaymentofstampdutybutwithoutprejudicetothepurchasersrighttoclaimspecificperformanceanddamagesfromthevendor.12.inconsiderationoftheservicesrenderedbythevendorsagentandthepurchasersagent,entitledtoreceivehk$_fromthevendorandthepurchasersagentshallbeentitledtoreceivehk$fromthepurchaserascommission.suchcommissionshallbepaidonorbefore.orinconsiderationoftheservicesrenderedbytheagent,theagentshallbeentitledtoreceivehk$fromthevendorandhk$fromthepurchaserascommission.suchcommissionshallbepaidonorbefore.13.ifinanycaseeitherthevendororthepurchaserfailstocompletethesaleandpurchaseinthemannerhereinmentioned,thedefaultingpartyshallcompensateatoncethevendorsagenthk$andthepurchasersagenthk$/theagenthk$asliquidateddamages.14.thepropertyissoldtothepurchaseronanasisbasis.15.thisagreementsupersedesallpriornegotiations,representation,understandingandagreementsbetweenthepartieshereto.16.itisherebyagreedthatthesaleandpurchasehereofshallincludethechattels,furnitureandfittingsassetoutintheremarks.17.thepurchaseracknowledgesthatheispurchasingthepropertysubjecttotheliabilityforpaymentofpremiumassetoutinparagraph1ofthescheduletothehousingordinancecap.283.thevendordeclaresthatforthepurposeofcalculationoftheamountofpremiumunderparagraph1(b)o
