Party B: Lei XX, China passport No.: Whereas: The qualification of Party A could be engaged in Financial Business in China(including Hongkong, Macao & Taiwan) and the whole world, and have matching resources to ensure the security of transactions(like bank credit for needed cooperative management, foreign exchange limitation， guarantee of payment ensuring, paying tax ability after getting fund, and using bank tools for partner s business fund inquiries, lock, payment, etc. As Party B has rich foreign exchange resources and business experience, willing to use this resource and cooperate with Party A. Party A and Party B shall, on the basis of law, integrity and equality, formulating the terms and conditions of this agreement upon repeated consultations. 1. Party A shall provide the accounts of several kinds currency or credit account which is set up by the bank and domestic & foreign banks, to get the profitable operating financial business from cooperative party which is organized by Party B to receive the EURO/USD cash remittance, cash, cash limitation of money market related, bank note, letter of guarantee and stand-by letter of credit in the form of trade or project investment. And pay for the transaction party of the settlement of funds according to the investment agreement with partners. 2. Party A authorizes Party B to be the suitable position to engage in above mentioned all kind of operating business(special authorization will be given once single business operated well). When there s incoming funds of 20 billion USD/EURO(or equal amount) or above to Party A s account, or business net profit is 1 billion USD/EURO(or equal amount), then Party A and Party B will follow Party A s legal regulations to register Party B as shareholder and has relative shareholder s rights. Party A must strictly audit Party B s business with standard operating and monitor finance account. Party A shall audit and authorize business declaration in time, and adjust business operating plan & authorization scope based on business status. 3. The net profit from Party B s each single business, % will be allocated to Party A and % to Party B. And 20% funds will be released to each party s account for freedom use from due profit of each business, the other 80% will be kept in common monitoring account for investment. When the profit accumulated to 1 billion EURO/USD(or equal amount), calculate share ratio according to actual amount, and confirm rights & register in the same investment financial institution according to law, can also have share cooperation to add Party A s capital. Fully use profit credit to invest urban renovation, port terminals, oil refineries, infrastructure construction, agriculture, animal husbandry and fishery industry, health pension, new environmental energy, intelligent high-tech manufacturing and other quality projects. 4. Business operating qualification, matching resources and authorization provided by Party A is legal and effective. And cooperative foreign capital & financial bills organized by Party B is also legal. 5. When there s a successful business, both parties shall sign relevant contract according to the major clauses matching with this agreement, to confirm total amount profit, allocation, accumulative amount, investment projects, share ratio & management plan. 6. While violating a treaty, the other party(who follows the contract) must submit a written proposal firstly, if there s no result then shall be referred to an agreed court of competent jurisdiction for litigation. The defaulting party shall pay compensation of violating a treaty to non-defaulting party according to the effective adjudication. 7. This agreement shall be effective after signing and sealing by both parties, must be followed strictly. In quadruplicate, each party holding two with equal legal effect.
