Address: Changjiang Tourism Scenic Area, East District, Zhongshan City Tel: (0760)88162299 (Business Department) (0760)88881180 (Property Management) Lessor (Party B): Feng Baoyuan GuoYudi Industry/brand: Chinese Restaurant Address: ID No.: E305130 (0) Tel: 88331177、13242206683 In accordance with Contract Law of the Peoples Republic of China, Party A and Party B reach an agreement on the lease matter and sign the following contract: 1.Leasing subject: Party A leases the shop to Party B used as Chinese restaurant, which is located at Bldg. 1 (referred to as the shop hereinafter) Changjiang Tourism Scenic Area【Kaiyin Greenvilla】(Greenvilla Commercial Street) (referred to as the property hereinafter), East District, Zhongshan City, with transmission construction area of / m2 and total construction area of 700 m2 (subject to mapping by relevant department). For further information about location and area of the shop, see attachment 1. 2.Lease term: 10 months, from Sept 1, 2008 to Jun 30, 2009. 3.Payment method of rental and management fee: 3.1 From Sept 1, 2008 to Jun 30, 2009, monthly rental: 16100 yuan. 3.2 Management fee: 2.50 yuan/m2/month (construction area), totally 1750 yuan/month. Counted from Sept 1, 2008. 3.3 Payment method: Party B shall pay the rental and management fee to Party A before 5 of the month. In case of holiday, the date followed will take the place. If not, 2 of account payable as penalty for each day will be charged. 4.Deposit: Party B pays the deposit (amount to two months rental: 22400 yuan) to Party A and water and electricity deposit (13000 yuan) to property management company on Aug 27, 2003. The deposit will be returned to Party B without interest within 15 days upon expiration of lease term on condition that Party B has not broken the contract and paid off all the fees. 5.Delivery and opening date: Party A delivers the shop to Party B on / (For delivery standard , see Attachment 2).Party B shall ensure that the shop opens before / . The opening date can be postponed if Party A postpones the delivery. 6.Rights and obligations of both parties 6.1 Rights and obligations of Party A 6.1.1Party A shall ensure legality of the rental right and effectiveness of the contract. 6.1.2Party A or the property management company assigned is entitled to charge Party B of rental, management fee and other fees payable. 6.1.3During lease term, Party A shall not terminate the contract for no reason if Party B has not broken the contract. 6.1.4Party A shall provide periodic maintenance for the equipments, to ensure their normal operation. 6.1.5Party A shall provide water and electricity connection to Party B for his decoration. The water and electricity charge is responsible by Party B. the decoration shall be subject to Chapter 5 of Merchant Manual and provisions of Shop Management Agreement. 6.1.6 Party A is entitled to appoint the property management company to manage the property. 6.2 Rights and obligations of Party B 6.2.1Party b shall pay the rental, management fee and other fees in scheduled time. 6.2.2During lease term, Party B shall operates legally and pay tax according to law. Illegal activity or offensive trade is not allowed. Party B is responsibe for his own profit and loss. Party A is responsible for no credit or debt. 6.2.3Party B shall not lease the shop unused, sublease it or deliver the shop to the party in other form without Party As approval in written form. 6.2.4The decoration and inner design shall be subject to requirements of the government, Party A and the property management company assigned, to make sure that the appearance and house structure safety will not be influenced or altered. The relevant drawings shall be submitted to the property management company before decoration. 6.2.5Party B shall not change the portal or fire-fighting equipment of the shop without Party As approval. 6.2.6The style of the shop appearance shall not influence that of the whole property. Otherwise, Party B shall improve or change the decoration during the term stated in the notice issued by Party A or the property management company. 6.2.7Party B shall arrange the operation activities in accordance with its function and ensure the stability of its usage. 6.2.8Party B shall comply with Merchant Manual, Shop Management Agreement and Fire Control Liability Agreement made by Party A or the property management company. 6.2.9During the lease term, Party B shall buy insurance at his own expense for his property from a reputable insurance company. 6.2.10Upon expiration of lease term, Party B shall inform Party A in written form 30 days in advance if he is willing to extend
