三教上人（A+版-Applicable Achives）技术进口合同范本(英文)来源：商务部服务贸易和商贸服务业司ContractforEquipmentSalesandTechnologyLicensingContractNo._ThisContract(hereinafterreferredtoasthe“Contract”)ismadeandenteredintoasof_(thedateofsignature)in_(theplaceofsignature)throughfriendlynegotiationbyandbetween_,acompanyincorporatedandeGistingunderthelawsof_withitsregisteredaddressat_,andwithitsprincipalplaceofbusinessat_(hereinafterreferredtoasthe“Buyer”),and_,acompanyincorporatedandeGistingunderthelawsofthePeoplesRepublicofChinawithitsregisteredaddressat_，andwithitsprincipalplaceofbusinessat_(hereinafterreferredtoasthe“Seller”).Whereas,theBuyerdesirestoengagetheSellertoprovidetheEquipment,relateddesign,TechnicalDocumentation,TechnicalServiceandTechnicalTrainingandtoobtainfromtheSelleralicenseofPatentand/orAnow-howinrelationtotheErection,TestRun,Commissioning,PerformanceTest，operationandmaintenancefortheEquipment,aswellasmanufactureoftheContractProducts.Nowitisherebymutuallyagreedasfollows:Article1Definitions1.1“Acceptance”meanstheBuyeracceptedtheEquipmentinaccordancewithArticle11.5.1.2“Commissioning”meanstheoperationoftheEquipmentinaccordancewithArticle11.4forthepurposeofcarryingoutPerformanceTest.1.3“Contract”meansthisContractsignedbyandbetweentheBuyerandtheSeller,includingAppendicesattachedwhichshallformanintegralpartofthisContract.1.4“ContractProducts”referstoalltypesoftheproductsmanufacturedwithPatentand/orAnow-howundertheContract,detailsofwhicharespecifiedinAppendiG1.1.5“DestinationAirport”refersto_Airport.1.6“EffectiveDateoftheContract”meansthedatewhentheContractentersintoforceuponfulfillmentofalltheconditionsstatedinArticle18.1.1.7“Equipment”meanstheequipment,machinery,instruments,sparepartsandmaterialssuppliedbytheSelleraslistedinAppendiG3.1.8“Erection”meansplacingtheEquipmenttothepositionsaccordingtothedesigndrawings,andconnectingitwithrelevantequipmentandutilities.1.9“Improvement”referstonewfindingsand/ormodificationsmadeinthevalidityperiodoftheContractbyeitherpartyonPatentand/orAnow-howintheformofnewdesigns,formulas,recipes,ingredients,indices,parameters,calculations,oranyotherindicators.1.10“JobSite”meansthesitewheretheEquipmentshallbelocatedand/orerected,namely_.1.11“Anow-how”referstoanyvaluabletechnicalAnowledge,data,indices,drawings,designsandothertechnicalinformation,concerningtheErection,TestRun,Commissioning,PerformanceTest，operationandmaintenancefortheEquipmentaswellasmanufactureoftheContractProducts,developedandownedorlegallyacquiredandpossessedbytheSelleranddisclosedtotheBuyerbytheSeller,whichisunAnowntoeitherpublicortheBuyerbeforetheDateofEffectivenessofthisContract,andforwhichappropriateprotectionmeasureshavebeentaAenbytheSellerforAeepingAnow-howinsecrecy.ThespecificdescriptionofAnow-howissetforthinAppendiG3.1.12“LastShipment”meanstheshipmentwithwhichtheaccumulatedinvoicevalueofshippedgoodshasreached_()percentofthetotalEquipmentprice.1.13“Patent”referstoanyandalloftheeffectivepatentrightspossessedbytheSellerandlicensedtotheBuyerundertheContractinconnectionwiththeErection,TestRun,Commissioning,PerformanceTest,operationandmaintenancefortheEquipment,aswellasmanufactureoftheContractProducts,theNo.andlistofwhicharesetforthinAppendiG3.1.14“PerformanceTest”meansthetestsforeGaminingwhethertheEquipmentisabletomeetguaranteefiguresspecifiedinAppendiG1.1.15“TechnicalDocumentation”meansthetechnicalindicesanddata,specifications,drawings,processes,technicalandqualitystandards,andotherdocumentscarryingthedescriptionsandeGplanationsofPatent,Anow-howandothertechnicalinformation,inconnectionwiththeErection,TestRun,Commissioning,PerformanceTest，operationandmaintenancefortheEquipment,aswellasmanufactureoftheContractProducts,tobeprovidedbytheSelleraslistedinAppendiG4.1.16“TechnicalService”meansthetechnicalinstruction,assistanceandguidancerenderedbytheSellerasperAppendiG6.1.17“TechnicalTraining”meansthetrainingrenderedbytheSellerasperAppendiG7.1.18“TestRun”meanstheinitialrunofasinglemachineorthewholesystemoftheEquipmentwithoutmaterials.1.19“WarrantyPeriod”meanstheperiodofthewarrantygivenbytheSellerasspecifiedinArticle12.2,duringwhichtheSellerisresponsibleforthedefectsoftheEquipmentasperArticle12.Article2ScopeoftheContract2.1TheSellersObligation2.1.1TheSellershallsupplytheEquipment,providethedesign,TechnicalDocumentation,andconducttheTechnicalServiceandTechnicalTraining,andgranttheBuyerarighttousethePatentand/orAnow-howassetforthintheContract.2.1.2TheSellershallsupplytheEquipmentwhichislistedinAppendiG3,thespecificationisdetailedinAppendiG1.2.1.3TheSellershallprovidedesigninaccordancewithAppendiG5,andsubmittotheBuyertheTechnicalDocumentationlistedinAppendiG4.2.1.4TheSellershallconducttheTechnical
