欢迎阅读本文档，希望本文档能对您有所帮助!信息披露管理办法 administrativemeasuresoninformationdisclosurebylistedcompanieschinasecuritiesregulatorycommissionorderno.40 30january2021 chapter1-generalprinciples article1thesemeasuresareformulatedpursuanttotheprovisionsofthecompanylaw，thesecuritieslawandotherrelevantlawsandadministrativeregulationsforthepurposesofstandardisinginformationdisclosurebyissuers，listedcompaniesandotherinformationdisclosureobligors，strengtheningadministrationoverinformationdisclosuremattersandprotectingthelawfulrightsandinterestsofinvestors. article2informationdisclosuremadebyobligorsshallbetruthful，accurate，completeandtimely，andtheinformationdisclosedshallnotcontainanyfalsehood，misleadingstatementormajoromission. informationdisclosuremadetoallinvestorsbyobligorsshallbepublicandsimultaneous. wherealistedcompanyissuessecuritiesandderivativesinthechinaoroverseasstockmarkets，theinformationdisclosuremadeinanoverseasstockmarketmustsimultaneouslybemadeinthechinastockmarket. article3thedirectors，supervisorsandseniormanagementpersonnelofissuersandlistedcompaniesshallperformtheirdutiesfaithfullyanddiligently，andensuretheveracity，accuracy，completeness，timelinessandimpartialityoftheinformationdisclosed. article4nopersonwithknowledgeofinsideinformationshall，priortoalawfuldisclosureofinsideinformation，makepublicordisclosesuchinformationorconductinsidertradingwithsuchinformation. article5informationdisclosuredocumentsmainlyincludetheprospectus，listingmemorandum，listingannouncement，regularreportsandinterimreports. article6listedcompaniesandotherinformationdisclosureobligorsshallsubmitthedraftpublicannouncementandtherelevantdocumentsforinspectiontothestockexchangeforregistrationwhenmakinginformationdisclosurepursuanttolaw，andmaketheannouncementonmediadesignatedbythechinasecuritiesregulatorycommission（hereinafterreferredtoasthe”csrc”）. thetimingoftheinformationannouncedonthecorporatewebsiteandothermediabyaninformationdisclosureobligorshallnotprecedetheannouncementofsuchinformationinthedesignatedmedia;thereportingandpublicannouncementdutiesmaynotbeintheformofapressconferenceorreplytoquestionsposedbyreportersorinanyotherform;andthedutytomakeinterimreportsmaynotbesubstitutedwitharegularreport. article7informationdisclosureobligorsshallsubmitthedraftpublicannouncementandtherelevantdocumentsforinspectiontothesecuritiesregulatorybureauattheplaceofregistrationofthelistedcompany，andmakecopiesofthesameavailableatthecompanyaddressforinspectionbymembersofthepublic. article8informationdisclosuredocumentsshallbewrittenintext.whereaninformationdisclosuredocumentisalsowritteninaforeigntext，theinformationdisclosureobligorshallensuretheconsistencyofthecontentsinbothversions.whereanyinconsistencyarisesbetweenthetwoversions，thetextshallprevail. article9thecsrcshallsuperviseandinspectinformationdisclosuredocuments，publicannouncementsandthemanagementofinformationdisclosurematterspursuanttolaw;andsuperviseandinspecttheconductofcontrollingshareholders，actualcontrollingpartiesandinformationdisclosureobligorsoflistedcompanies. thestockexchangeshallsuperviseandinspecttheinformationdisclosureactivitiesoflistedcompaniesandotherinformationdisclosureobligorsandurgethemtomaketimelyandaccurateinformationdisclosurepursuanttothelaw;andimplementreal-timemonitoringofsecuritiesandderivativestransactions.thelistingrulesandotherinformationdisclosurerulesformulatedbythestockexchangemustbesubmittedtothecsrcforapproval. article10thecsrcmaymakespecialprovisionsforinformationdisclosurebylistedcompaniesinthefinancial，realestateandotherspecialindustries.chapter2-prospectus listing memorandum and listingannouncement article11prospectusespreparedbyissuersshallcomplywiththerelevantprovisionsofthecsrc.anyinformationwhichmaysignificantlyaffecttheinvestmentdecisionofaninvestormustbedisclosedintheprospectus. theissuershall，uponapprovalofthesecuritiespublicofferingapplicationbythecsrc，makeapublicannouncementoftheprospectuspriortothesecuritiesoffering. article12thedirectors，supervisorsandseniormanagementpersonnelofanissuershallsignandendorsetheprospectusandensuretheveracity，accuracyandcompletenessofinformationdisclosedtherein. theprospectusshallhavethecompanysealoftheissueraffixed. article13whereanissuerappliesforinitialpublicoffering，theissuershall，uponacceptanceoftheapplicationdocumentsbythecsrcbutpriorexaminationbytheofferingreviewcommittee，discloseadraftdeclarationoftheprospectusonthecsrcwebsiteinadvance. thedraftdeclarationoftheprospectusdisclosedinadvanceisnotaformaldocumentforissuanceofsharesbytheissuerandshallnotincludeanypricinginformation;andtheissuershallnotissuesharesbasedonthedraftdeclarationoftheprospectus. article14whereanimportantmatteroccursduringtheperiodafterthecsrcapprovestheissuanceofsecuritiesapplicationbutbeforeissuanceiscomplete，theissuershallsubmitawrittenexplanationtothecsrc;andarevisedprospectusor
