编号：Translation Service Agreement翻译服务合同甲方：乙方：签订日期：年月日甲方:Party A： 乙方：Party B： TERMS & CONDITIONS条款甲乙双方本着友好协商、共同发展的原则签订本翻译服务合同，其条款 如下：Both parties of Party A and Party B have signed the Translation Service Contract based on the principle of friendly cooperation and mutual development. The articles are as follows：一、甲方委托乙方为其提供翻译服务，及时向乙方提交清晰、易于辨认 的待译资料，提出明确要求，并对乙方的翻译质量进行监督。1. Party A entrusts Party B with the translation service. Party A shall provide legible documents in time and give clear requirements and control the translation quality of Party B.二、乙方按时完成翻译任务（如发生不可抗力的因素除外），向甲方提 供已翻译好的打印件及电子文件各一份。具体交稿日期为收到待译资料 后 3 个工作日。对于加急稿件，交稿期限由双方临时商议。2. Party B shall complete the translation work in time and deliver the translation by printed hard copy and a relevant disk within the agreed date. It takes three working days as agreed date for the translation work. For the urgent request， the delivery time will be discussed accordingly between the two parties.三、乙方对甲方提供的任何资料必须严格保密，不得透露给第三方。3. Party B shall keep confidentiality of any documents provided by Party A and can not disclose to the third party.四、翻译工作量统计：电子译稿：按电脑统计的中文版字符数计算(中 文版 Word2003 中“不计空格的字符数”)；打印译稿：按中文原稿行数 _列数统计计算(行_列)。4. Calculation of the load of translation： For electronic documents，the translation load shall be based on the statistics of the computer (Chinese Version Word2003 “Chinese characters not including blank spaces ”). For printed documents, the translation load shall be calculated according to lines of Chinese characters (the original printed copy)， i.e. lines _ rows.五、本次翻译费为 元。甲方同意向乙方缴付一切与此 有关的额外开销。这额外开销通常包括（但不只限于）特快专递费等。5. The translation fee is RMB. Party A agrees to paythe relevant fee of translation work. The relevant fee could be but not limited to express fee.六、乙方可以在翻译开始前为甲方预估翻译费，甲方付款时则按实际发 生的工作量支付给乙方翻译费用（工作量统计方法见本合同第四条）。6. Party B can evaluate and notice Party A the estimated translation fee before the launch of the project. Party A shall pay to Party B the amount of translation fee according to the actually calculated load of translation （as specified in Clause 4 of this Contract）.七、乙方承诺，交稿后，免费对翻译稿进行必要修改，不另行收取费 用。7. Party B promises to provide necessary modifications to the translation documents free of charge after the delivery.八、甲方在收到乙方译稿的个工作日内支付乙方翻译总费用。如第日余款还未付清，则甲方每延误天需要向乙方交纳翻译总费用%o的滞纳金。8. Party A should pay Party B the total payment within five working days after the translated document is delivered. If the payment is not received in time, the late payment charge of% daily is applied.九、甲方同意，本委托合同书是独家委托，不可撤消的委托。甲方明 白，一旦签署这委托合同后，如果甲方在乙方提供服务过程中决定终止 这委托合同、或决定改为委托别的翻译代理继续执行，则甲方需要立即 向乙方缴付清全数翻译费和额外开销。9. Party A agrees that the Party B is solely and revocable responsible for translation. Party A acknowledges that after signing on this agreement, Party A cannot terminate this agreement in the process of translation. If Party A decides to entrust other translation agent, Party A shall pay the total translation fee and relevant fee to Party B immediately. 十、乙方应当保证译文的翻译质量和翻译服务达到行业公允的水平，如 对译文的翻译水平发生争议，应由双方共同认可的第三方评判，或者直 接申请仲裁。10. Party B shall guarantee that the quality of the translation and relevant service be up to the received evenhanded standard of the translation industry. In case any disputes arising from the quality of the translation material， it shall be settled through the judgment of a third party agreed by the two parties or apply to arbitration directly.十一、本合同一式两份，双方各执一份，经甲乙双方签章后生效。11.
